Product Purchase Agreement

Set out the terms and conditions governing the purchase and sale of products between a customer and supplier with this template Product Purchase Agreement.

Written purchase orders must be submitted by Customer and accepted by Supplier.
Prices do not include shipping, insurance, taxes, import duties, or other charges, which must be paid by Customer.
Supplier retains title to the products until the applicable invoices are paid in full.
Supplier will transfer any transferable warranties to Customer.
Customer indemnifies Supplier against any claims or actions with respect to the use of the products.
Both parties agree not to disclose the other party's confidential or proprietary information.
Customer agrees to comply with all export and import control laws in respect of the products.
The parties agree to submit to binding arbitration in the event of a dispute.
