Exclusive European Distribution Agreement
UK manufacturers,appoint an exclusive distributor of your products within a defined territory in Europe with this Exclusive European Distribution Agreement.
- The Agreement sets out the procedures to be followed upon termination or expiry of the agreement, including return of unsold products and payment of all amounts owing between the parties.
- The distributor agrees not to directly or indirectly compete with the manufacturer within the territory during the term and for a specified period thereafter.
- The manufacturer reserves the right to sell products to customers within the territory who wish to deal directly with the manufacturer.
- The manufacturer shall use best endeavours to supply products according to the distributor's purchase orders.
- The distributor must use best endeavours to promote and sell the products, must maintain a minimum inventory, and must meet specified performance targets.
- The distributor must not accept warranty claims without the approval of the manufacturer.
- The distributor is responsible for obtaining all necessary licences and permits.
- The parties agree to submit disputes to binding arbitration in the United Kingdom.
